The Annual Meeting of Common Shareholders of Sun Life Financial Inc. and the Annual Meeting of the Policyholders and sole Shareholder of Sun Life Assurance Company of Canada were held in Toronto at The Carlu on May 14, 2008.

The Annual Meetings were chaired by Ronald W. Osborne, Chairman of the Board, and included remarks by Donald A. Stewart, Chief Executive Officer.

The 2007 Audited Financial Statements of Sun Life Financial Inc. and of Sun Life Assurance Company of Canada were presented.

The election of directors and the appointment of an auditor for each company was considered and voted on. Amendments to each company’s By-Law No. 1 and to Sun Life Financial Inc.’s Executive Stock Option Plan were also voted on.
